OFFER OVERVIEW

This promotion is being offered by Figma, Inc., a Delaware corporation with offices located at 760 Market Street, Floor 10, San Francisco, CA 94102 (“Figma”). Figma is offering a promotion for existing Google Jamboard users that migrate to FigJam (“Promotional Offer”). Users can get up to 12 months of FigJam Professional for their team (max of 25 editor seats), for free when they import an existing Jamboard file into FigJam and sign up for (or upgrade to) an annual FigJam Professional subscription at checkout. Users that are part of an existing paid FigJam plan (Professional, Organization, or Enterprise) are ineligible. Please review the full offer terms below:

FULL OFFER DETAILS

1. Promotion Period

This Promotional Offer expires and must be redeemed by January 31, 2024 at 11:59 PM UTC.

2. Eligibility

In order to be eligible for the Promotional Offer, users must satisfy all of the following conditions:

• Have or create a Figma account and agree to our Terms of Service and Privacy Policy
• Import a Google Jamboard file created before 9/28/2023 12:00 AM UTC into FigJam
• Not have an editor seat on an existing paid FigJam subscription (Professional, Organization or Enterprise)
• Sign up for or upgrade to an annual FigJam Professional subscription at checkout (monthly subscriptions are excluded)

3. What You Receive; Up to 12 months of FigJam Professional for 25 editors

Eligible users receive 12 months of free FigJam Professional for up to 25 editors on the same team when they sign up for or upgrade to an annual FigJam Professional subscription per the Promotional Offer. Users on a team with an existing paid Figma Design annual subscription only receive free FigJam Professional seats for the remainder of their Figma Design subscription term as described below.

Eligible users on a team with an existing paid Figma Design annual subscription (Professional, Organization, or Enterprise) get free FigJam Professional for up to 25 editors for the remainder of their annual Figma Design subscription term when they upgrade to an annual FigJam Professional subscription per the Promotional Offer. For example, if you have 8 months of your Figma Design annual subscription left and are eligible for the Promotional Offer, you would get 8 months of FigJam Professional (on an annual subscription) for free for up to 25 editors..

The Promotional Offer is for a maximum of 25 FigJam Professional editor seats per team. This means you and up to 24 teammates can be upgraded to FigJam Professional as part of this Promotional Offer. If you are interested in more editor seats, please reach out to the sales team.

4. Availability

The Promotional Offer must be accepted before the applicable expiration date advertised, if any. Except where prohibited by law, Figma reserves the right to modify, suspend, or terminate the Promotional Offer at any time and for any reason, in which case we will not honor subsequent Promotional Offer enrollments.

The Promotional Offer is only available to customers in countries where Figma offers its services and is void where prohibited by law. You must be old enough to use the Figma services as described in our Terms of Service in order to redeem the Promotional Offer. Employees or contractors of Figma and its affiliates are not eligible to participate.

Any portion of the Promotional Offer may be canceled, suspended and/or modified, in whole or in part, if in Figma’s opinion any fraud, technical failure, or other factor impairs the integrity or proper functioning of the Promotional Offer. You may not register with multiple identities or use any automated system, bot, or other device or artifice to redeem the Promotional Offer or attempt to obtain more than the maximum number of FigJam Pro seats offered.

5. Renewal and Cancellation Terms

Your subscription begins as soon as your initial payment is processed. You will be charged, in one lump sum, the amount shown on the ordering page. If you add extra seats beyond the amount available through the Promotional Offer, the cost of those seats will be reflected on the ordering page. All amounts shown on the ordering page are in USD.

6. Automatic Renewals and Charges

On your annual renewal date, your subscription will automatically renew for another year on the then-current Terms of Service or Software Service Agreement terms, as applicable to you, unless you cancel your subscription in accordance with the below or Figma notifies you at least thirty (30) days in advance that it is not renewing. Accordingly, every year on your annual renewal date until you or we cancel, we will automatically charge you an amount equal to the number of users on your account multiplied by the then-current rate for your plan, plus applicable taxes.

Additionally, we will automatically charge you every three months following your subscription start date for the then-current term for new paid users you add to your account (if any) through a true-up process. Before charging you, we will notify you of the new paid users added to your account since the last billing period. You can choose to either keep new paid users or downgrade them to free users. On your true-up date, you will be charged a prorated amount for the paid users you decide to keep for the remaining time in your annual term.

We may change your plan’s rate each annual renewal term, but we will notify you in advance of any rate change and give you the option to cancel. We may also change your plan’s rate at any time upon at least 30 day’s written notice, provided that if you do not agree with such pricing changes you may terminate your subscription during such notice period and receive a refund for any amounts pre-paid but not used at the time of termination.

You authorize us, through our payment processor, to store your payment method(s) and to automatically charge your payment method(s) every year (or every three months if you add editors to your account during a true-up) until you cancel. If your payment method fails, we may suspend your subscription. You can edit your payment information anytime in your Figma Admin Dashboard.

7. Cancellation

You may cancel your subscription at any time at least 30 days before the end of your annual term by contacting our support team at support@figma.com. In most cases, subscriptions are non-refundable. Please review our Refund Policy below.

8. Refund Policy

If you cancel your subscription, you will not receive a refund of any portion of the fee paid for your annual term, except in limited cases described herein. You will be responsible for all subscription fees (plus any applicable taxes and other charges) incurred for your annual term.

If you live in the E.U. or Turkey, you are eligible for a refund if you cancel your subscription within 14 days of purchase. You are only eligible for refunds for the amount actually paid (e.g. no refunds for the value of promotional offers). To request a refund, send us an email at support@figma.com and include your country of residence.

If you think there’s been an error in billing, please contact our support team at support@figma.com and we’ll work with you to find a solution.

9. Other Terms and Conditions

By participating in the Promotional Offer, users agree to be bound by these terms and the decisions of Figma, which are final in all respects and not subject to appeal. Figma reserves the right: (a) to verify eligibility of users and (b) to disqualify permanently from this Promotional Offer and future offers any user it believes has violated these terms or any other Figma terms a user is subject to.

FIGMA SHALL NOT BE LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES ARISING OUT OF THE PROMOTIONAL OFFER.

This Promotional Offer is governed by the laws of the State of California without regard to any conflict of laws provisions. If any part of the Promotional Offer is found to be illegal, unenforceable, or invalid, the remaining portion of these terms will remain in full force and effect.
